Title: Legal Counsel

Job Summary:
Manage the resolution of all country in-house legal/contract matters as part of the function's legal management role.
Job Responsibilities:
- Contract management and resolution of legal matters related to all types of commercial contracts, including but not limited to IT/Software contracts whilst ensuring compliance with the Company’s policies, governance/compliance/code of business conduct/ethics/corporate social responsibility, etc.
- Responsible for drafting, reviewing, and negotiating of all types of commercial contracts, including but not limited to IT/Software contracts, business contracts, agreements, documents etc. whilst ensuring compliance with the Company’s policies, governance/compliance/code of business conduct/ethics/corporate social responsibility, etc.
- Manage country legal/compliance projects to ensure areas needing change and improvement are acted upon.
- Provide legal advisory to internal stakeholders. Gain better understanding of the business and its various processes to enhance the quality of legal advice given.
- Build and maintain long-term relationships with external legal advisors/legal community to keep up to date with laws, regulations, and best practices.
- Build and maintain excellent working relationships with internal stakeholders of the Company.
- Assist the Director of Legal in Malaysia, Singapore and Brunei legal matters.
- Manage the internal legal contract database for DKSH Group.
- Responsible in conducting legal trainings and user trainings in managing the legal contract database with internal stakeholders.
- Responsible in conducting legal trainings and user trainings to all internal stakeholders.
- Handling of trademarks - manage and keep track of Group Trademarks, functioning as the key liaison with trademark solicitors.
- Advise on issues relating to litigation matters and debt recovery actions, including monitoring of status of cases.
- Manage external counsels for litigation and corporate matters and oversee all works related thereto.
- Attend to administrative procedures to manage business legal implications.
- Administer due diligence processes and activities within the country to enforce a structured approach to legal management.
- Preparation of key litigations/arbitrations, interactions with external legal counsels and represent the country in key legal proceedings to ensure DKSH's interests are well protected.
- Prepare and provide response on court/legal documents/pleadings.
- Conduct legal research in relation to the assignments given.
- Attend to all legal matters/tasks or other ad-hoc matters/tasks as assigned from time to time.
Job Requirements:
- Degree in Law from top-tier university in Malaysia or abroad
- Qualified to practice law. Admission to the Malaysian Bar is preferred
- Minimum ten (10) years’ experience practicing law in a law firm with business law orientation or in the in-house legal department of an organization, ideally locally listed
- Exposure and substantial experience in the Healthcare, Fast Moving Consumer Goods, Performance Materials, Technology industries is preferred
- Extensive experience in legal management (e.g. organization of a legal service team, definition of a coverage and sourcing model, reporting, alternative billing methods, legal process outsourcing, knowledge of the relevant technology capacity
- Demonstrate advanced knowledge and understanding of the business and industry
- Demonstrate advanced knowledge of corporate law, contract and commercial law, IT/Software-related law, including country-specific laws
- Demonstrate fluency in English (both written and spoken). Proficiency in any other language is an additional asset
- Demonstrate appreciation and respect for cultural sensitivities especially in cross-country/culture interactions
- Demonstrate ability to handle highly sensitive and confidential information with integrity
- Demonstrate proficiencies in office productivity tools (e.g. Excel, Word and PowerPoint)
- Demonstrate knowledge of adaptation of the law within the cultural/legal framework of Malaysia, Singapore and Brunei
