About The Role
The Legal Counsel is a key member of DKSH Group's Legal and Compliance team, driving the legal execution of strategic transactions including mergers and acquisitions (M&A), joint ventures, and corporate restructurings that support DKSH's growth across Asia. Based in Bangkok, this role operates in a dynamic, cross-border environment, partnering closely with the Group M&A team and cross-functional stakeholders to deliver commercially sound legal outcomes across multiple jurisdictions.
What You Will Deliver
- Drive the end-to-end legal execution of mergers and acquisitions (M&A) transactions, joint ventures, and corporate restructurings, collaborating with the Group M&A team, business stakeholders, sellers, and external advisors across the full transaction lifecycle.
- Draft, review, and negotiate transaction documents, including non-disclosure agreements (NDAs), memorandum of understanding (MOUs), non-binding offers (NBOs), term sheets, share purchase agreements (SPAs), shareholders' agreements, joint venture agreements (JVAs), and ancillary documents.
- Lead and review legal due diligence processes, identifying key legal risks and delivering practical, commercially driven advice on deal structuring and execution.
- Manage and coordinate external legal counsel across multiple jurisdictions, ensuring timelines and deliverables are met efficiently.
- Support post-signing and post-closing integration activities, including implementation of corporate reorganizations and alignment of acquired businesses with DKSH standards and policies.
- Review and negotiate commercial contracts for DKSH Group's Business Units and Functions, ensuring legal soundness and alignment with Group risk frameworks.
- Deliver legal advice across corporate, commercial, intellectual property (IP), competition, labor, antitrust, and M&A matters, in close collaboration with legal counsels and cross-functional stakeholders.
- Investigate legal risks, prepare reports, and provide clear recommendations to relevant stakeholders on risk mitigation strategies, ensuring alignment with applicable laws and Group policies.
- Partner with local legal counsels across jurisdictions to ensure compliance with local legal and regulatory requirements.
- Support, manage, and execute Group and regional legal projects, including drafting, improving, and implementing standard operating procedures (SOPs), guidelines, and manuals.
- Administrative duties and coordination tasks as required.

What You Bring
- Degree in Law from a top law school or university; admission to the Bar is preferred.
- Minimum 5 to 8 years of experience in private practice or within the in-house legal department of a multinational corporation.
- Excellent knowledge of contract and commercial law, corporate law, antitrust law, and intellectual property (IP) law, with demonstrated experience in M&A and transactional documentation.
- Proven ability to operate effectively in an international, cross-border environment, supporting complex transactions and coordinating stakeholders across multiple jurisdictions.
- Excellent written and spoken communication skills in English.
- Highly efficient, proactive, and systematic, with strong attention to detail and the ability to manage multiple projects simultaneously.
- Demonstrated ability to maintain high standards of quality and composure under pressure.
- Strong integrity in handling highly sensitive and confidential information with discretion.
